NOT FOR MEDICAL DIAGNOSTIC USE. FOR IN VITRO USE ONLY. BY USE OF THIS PRODUCT, RECIPIENT AGREES TO BE BOUND BY THE TERMS OF THIS LIMITED USE STATEMENT. If recipient is not willing to accept the conditions of this limited use statement, and the product is unused, Promega will accept return of the unused product and provide recipient with a full refund.
This product and its transfected derivatives may not be further sold or transferred by recipient and may be used only by recipient, and then only for research use, which includes, but is not limited to, drug discovery and development. No commercial use is allowed. “Commercial use” means any and all uses of this product or its transfected derivatives by recipient for monetary or other consideration, including without limitation (1) product manufacturing, and (2) resale of this product or transfected derivatives for any use. Recipient has no right to propagate, modify, derivatize, genetically engineer or otherwise create variations of this product, except that recipient may transiently transfect these cells for use in generating research data. Notwithstanding the foregoing, recipient may use this product or transfected derivatives in provision of services to third parties in exchange for consideration (“Service Providers”); however, Service Providers may not transfer the product or transfected derivatives to third parties. Notwithstanding the transfer prohibitions of this limited use statement, end-user recipients, including, but not limited to non-profit recipients, and biotech and biopharma recipients, may transfer this product to third-party Service Providers, provided that Service Providers (1) receive a copy of this limited use statement and agree to comply with its terms; (2) use this product only on behalf of end-user recipient; (3) comply with the AdVec, Inc., license requirements described below; and (4) agree not to transfer this product or transfected derivatives to any other party.
Any use of this product by recipients who are for-profit entities (including without limitation biotechnology companies, biopharmaceutical companies and Service Providers) requires a license to HEK293 cell line from AdVec. Academic and other non-profit entities do not require any further license from AdVec. Unlicensed for-profit entities may contact AdVec, Dr. Frank Graham, CEO, at graham@mcmaster.ca.
No other use of this product is authorized without the prior express written consent of Promega. With respect to any uses outside this limited use statement, including any diagnostic, therapeutic, prophylactic or commercial uses, please contact Promega for supply and licensing information. PROMEGA MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING AS TO MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH REGARDS TO THIS PRODUCT. The terms of this agreement shall be governed under the laws of the State of Wisconsin, USA.
